1. Acceptance of Terms

   By accessing or using Malakai, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our service.

2. Description of Service

   Malakai uses Artificial Intelligence ("AI") to solve issues specified in GitHub issues. All other uses of Malakai are prohibited.

   We reserve the right to modify or discontinue the service at any time without notice.

3. Billing and Subscriptions

   Subscriptions are billed up front with overages billed in arrears. At the end of each billing cycle, we count the number of GitHub pull requests Malakai created in repositories under your organization and compare it against your subscription's allotment. If more pull requests were created than your subscription allows, the overage amount will be added to your invoice for the upcoming month.

   When you upgrade your subscription, we start a new billing cycle. We calculate a prorated credit for your current subscription based on the remaining time in your billing cycle. For example, if your current subscription is $100/month and you are 25% through the month when you upgrade, you will receive a $75 credit toward your upgrade. Your billing date will change to the date of the upgrade.

4. User Responsibilities

   You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

5. Intellectual Property

   All content, features, and functionality of Malakai (including its code, interfaces, prompts, etc) are owned by Malakai Dev, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

   All code that Malakai writes inside your code repositories on behalf of your organization are owned by your organization. Malakai Dev, LLC does not claim any rights to your code.

6. Limitation of Liability

   Malakai uses Artificial Intelligence ("AI") and its outputs are therefore not completely controlled. It may occasionally generate unexpected output. As such, Malakai Dev, LLC makes no guarantees as to the fitness of outputs for the given request. Users are expected to validate the output of the service, such as in code review.

   Malakai and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the service.

7. Changes to Terms

   We reserve the right to update or change these Terms of Service at any time. Your continued use of the service after we post any modifications to the Terms of Service will constitute your acknowledgment of the modifications and your consent to abide and be bound by the modified Terms of Service.

8. Governing Law

   These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Malakai is based, without regard to its conflict of law provisions.
